Terms of Service Madrhiggs

These Terms of Service (" Terms ") govern your access to and use of services by the user, including the various websites, SMS, APIs, email notifications, applications, buttons, and widgets for Madrhiggs ("Services" or "Madrhiggs"), and any information, text, graphics, photography or other material uploaded or downloaded or present in the Services (collectively referred to as "Content"). Access to and use of the Services will be subject to your acceptance of and compliance with these Terms. By accessing or using the Services, you agree to be bound by the compliance with these Terms.

1. Basic Terms

You are responsible for your use of the Services, for any Content posted on the Services, and for any consequences resulting from such actions. The Content submitted, posted or made visible by the user will be visible to other users of the Services and through third party services and websites (access the account to control who sees your Content). You shall provide only the content that believes it can share with others in accordance with these Terms.

All Content, publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. Madrhiggs is not required to monitor or control the Content posted via the Services and disclaims any responsibility for such Content. Any use of or reliance towards Content or materials posted via the Services or obtained by you through the Services, is at risk.

Madrhiggs does not release any kind of approval, support, warranty or representation as to the completeness, truthfulness, accuracy or reliability of any Content or communications posted via the Services or endorse any opinions expressed via the Services. The user declares himself aware that the use of the Services may expose to Content that is offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, a post that has been incorrectly marked or otherwise misleading. Madrhiggs will not, under any circumstances, responsible for the Content, including, but not limited to, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind resulting from the use of the Content posted, emailed, transmitted or otherwise made available via the Services or spread elsewhere.

5. Your Rights

You retain your rights to any Content that will send, will post or make available on the Services, or through, the. By submitting, posting or displaying Content on the Services, or through, you grant to Madrhiggs a worldwide, non-exclusive, free (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Content in any media or distribution methods (now available or later developed).

Note: This license authorizes Madrhiggs to make any user Content available to the rest of the world and authorize others to do likewise.

You agree that this license includes the right for Madrhiggs to provide, promote and improve the Services and make available Content submitted to or through the Services to other companies, organizations or individuals who partner with Madrhiggs for the sharing, transmission, distribution or publication of such Content on other media and services, subject to the terms of Madrhiggs for the use of Content.

Note: Madrhiggs has a set of rules for more ideas that define the way the ecosystem of partners can interact with your Content. These rules exist to enable the existence of an open ecosystem that takes account of user rights. However, what the user is the user - the latter is owner of the Content (and photographs are part of Contents). Such additional uses by Madrhiggs, or other companies, organizations or individuals who partner with Madrhiggs, may be made without payment of any compensation to you with respect to Content that it submit, post, transmit or otherwise make available through the Services.

Madrhiggs may modify or adapt your Content in order to transmit, display or distribute it over computer networks and various media and / or make changes to the content that will be necessary to conform and adapt to any requirements or limitations of any network device , service or support.

You are responsible for your use of the Services, for any Content provided and for any consequences that might arise, including the use of Content by other users or third-party partners of Madrhiggs. You agree that your Content may be shared, transmitted, distributed or published by partners of Madrhiggs and assumes any responsibility that may be derived if it has the right to provide Content for such use. Madrhiggs will not be responsible or liable for any use of the User Content in accordance with these Terms and you represent and warrant that you have all the rights, power and authority necessary to grant the rights provided in this document, in relation Content submitted by you.

6. License to you to use the Services

Madrhiggs gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software that Madrhiggs will provide the user as part of the Services. The license will have the sole purpose of enabling you to use and benefit of the Services as provided by Madrhiggs, in the manner permitted by these Terms.

7. Rights of Madrhiggs

All right, title and interest in the Services (excluding Content provided by users) shall be and remain the exclusive property of Madrhiggs and its licensors. The Services are protected by copyright, trademark and other laws of the US and other foreign countries. Nothing contained in these Terms grants you the right to use the name of Madrhiggs, or any of its trademarks, logos, domain names and other distinctive brand. Any feedback, comments or suggestions that you will provide regarding Madrhiggs, or the Services is meant purely voluntary and Madrhiggs will have the freedom to make use of the feedback, comments or suggestions that it deems appropriate and without any obligation to you.

8. Restrictions on Content and use of the Services

Please take note of the Madrhiggs Rules (which are part of these Terms) to a full understanding of the prohibitions regarding the Services. Madrhiggs reserves the right (but shall have no obligation) to remove or refuse, at any time, the distribution of Content on the Services, to suspend or terminate users, and to request the return of some usernames without liability in respect of ' User. Madrhiggs also reserves the right to access, read, preserve, and disclose any information it considers reasonably necessary to: (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce compliance with the terms, even by the investigation of potential violations thereof, (iii) detect, prevent, or otherwise deal with fraud or security issues or technical in nature, (iv) respond to requests for assistance from users, or (v) protect the rights, property or safety of Madrhiggs, its users and the public.

Note: Madrhiggs will not disclose to third parties information that personally identifies any person, except as provided in its Privacy Policy . In the case of use of the functions of the commercial services that require information on your credit card or debit card, as the function Buy now, you agree to be bound by the Terms Madrhiggs Commerce.

In accessing or using the Services you shall not do any of the following: (i) access, tamper with or use restricted areas of the Services, the computer systems of Madrhiggs or the technical systems of delivery provider Madrhiggs; (Ii) probe, scan or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; (Iii) access or search or groped to access or search the Services by any means (automated or otherwise) other than the published interfaces currently available, provided by Madrhiggs (and only pursuant to those terms), unless the ' User will have been specifically authorized by a special agreement with Madrhiggs (NOTE: the development of research for the purpose of indexing (crawling) in respect of the Services is permitted if this occurs in compliance with the provisions of the robots.txt file, however, the extraction information carried by automated (scraping) without the prior consent of Madrhiggs is expressly prohibited); (Iv) forge headers of any TCP / IP packet header or any part of the information in any email or post or otherwise use the Services to send identifying information of the source altered, deceptive or false; or (v) interfere with or disrupt (or groped to do so), the access of any user, host or network, including, by way of example only, introducing computer viruses, overloading the system or using techniques of flooding, spamming, or mail-bombing against the Services or intervening through script on the creation of Content in such a manner as to interfere with the Services or cause an overload.

9. Rules on copyright

Madrhiggs respects the intellectual property rights of others and requires that users of the Services to act the same way. Madrhiggs will respond to notices of alleged infringement of copyright made in accordance with applicable law and sent to Madrhiggs in an appropriate manner. If you believe that your Content has been reproduced in violation of copyright law, you will provide to Madrhiggs the following information: (i) a physical or electronic signature of the owner of the copyright or the person authorized to act on his behalf; (Ii) identification of the material protected by copyright and believed that was the subject of the violation; (Iii) identification of the material that you believe violates or has been the subject of infringing activity and that should be removed or access to which is to be disabled, and information reasonably sufficient to permit Madrhiggs to locate the material; (Iv) your contact information, including address, phone number and an email address; (V) a statement by you his conviction, in good faith, that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notification is accurate, and, aware of the criminal responsibility laid against him in the case of false statements, the user is authorized to act on behalf of the owner of copyright.

Madrhiggs reserves the right to remove any Content that is alleged to constitute infringement without notice, in its sole discretion and without liability to you. Where appropriate, Madrhiggs also close your account if they demonstrated an intention to repeat the violation. 10. Termination of these Terms

These Terms will remain in force until terminated by either you or Madrhiggs, according to the procedures that follow.

You may terminate its agreement with Madrhiggs at any time and for any reason by deactivating your accounts and discontinuing your use of the Services. Do not need the user expressly inform Madrhiggs when you stop using the Services. If you stop using the Services without deactivating your accounts, the same may be deactivated due to prolonged inactivity under the Rules governing inactive users of Madrhiggs.

Madrhiggs may suspend or terminate user accounts or cease to provide you with all the services, or part thereof, at any time and for any reason, including, by way of example, the case where it reasonably believes : (i) that you have violated these Terms or the Madrhiggs Rules, (ii) that the user poses a risk or a possible source of exposure to legal risks for Madrhiggs; or (iii) that the provision of the Services to you by Madrhiggs is no longer commercially viable. Madrhiggs will strive to the best of their ability to alert you by notice to the email address associated with your account, or on the occasion of his first future attempt to access your account.

In all these cases, these Terms will cease, including, by way of example only, the license to use the Services, except for the following clauses, which will continue to apply: 4, 5, 7, 8, 10, 11 and 12.

Nothing contained in this clause shall affect the rights of Madrhiggs to modify, limit or stop the provision of the Services without notice, as provided in clause 1 above.

11. Exclusions and limitations of liability

We recommend a careful reading of this clause, which shows the limitations of liability of Madrhiggs and its subsidiaries, affiliates and its officers, employees, agents, partners and licensees (collectively, the "Madrhiggs Entities"). Each of the following clauses shall apply only to the extent permitted by applicable law. Some jurisdictions do not allow the exclusion of liability clauses concerning the implied warranties or limitation of liability in contracts and, therefore, the contents of this clause may not apply to you. Nothing contained in this clause means limiting any right you may have and for which the law does not provide for the possibility of limitations.

A. The Services are Available "AS IS"

Access to and use of the Services or Content from the user is at risk of the latter. The user is informed and agrees that the Services are provided "AS IS" and "AS AVAILABLE". Subject to the foregoing and to the maximum extent permitted by applicable law, THE MADRHIGGS ENTITIES DISCLAIM ALL LIABILITY IN ORDER TO WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

The Madrhiggs Entities make no warranty and disclaim any liability regarding: (i) the completeness, accuracy, availability, timeliness, security and reliability of the Services or Content; (Ii) any damage to your computer system or loss of user data or other damage resulting from access to or use of the Services or Content from the user; (Iii) the deletion or failure to store or transmit any Content and other communications in the Services; and (iv) the fact that the Services will meet your requirements or be available on an uninterrupted, secure and error-free. No advice or information, whether oral or written, obtained from the Madrhiggs Entities or through the Services, will give rise to any warranty not expressly contained herein.

B. Link

The Services may contain links to websites or third party resources. You acknowledge and agree that the Madrhiggs Entities are not responsible or liable in respect of: (i) the availability or accuracy of such websites or resources; or (ii) the content, products or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by the Madrhiggs Entities of such websites or resources or the content, products or services available from such websites or resources. You acknowledge sole responsibility and assumes all risk resulting from the use of such websites or resources.

C. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MADRHIGGS ENTITIES SHALL NOT BE LIABLE FOR ANY DAMAGES FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR LOSS OF DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES RESULTING (i) FROM ACCESS, USE OR INABILITY TO ACCESS OR USE THE SERVICES; (Ii) THE CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING BUT NOT LIMITED TO BUT NOT LIMITED TO, THE PIPELINES DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (Iii) THE CONTENT OBTAINED FROM THE SERVICES; OR (iv) FROM ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR UNAUTHORIZED USER CONTENT. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE MADRHIGGS ENTITIES EXCEED THE HIGHER BETWEEN ONE HUNDRED US DOLLARS (USD 100.00) OR ANY AMOUNT YOU PAID MADRHIGGS, IN THE PAST SIX MONTHS FOR THE SERVICES THAT HAVE GIVEN RISE TO CLAIM.

THE LIMITATIONS OF THIS subclause APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTORY OR TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF THE MADRHIGGS ENTITIES WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF FOUND, DESPITE ITS APPLICATION, FAILURE OF ANY REMEDY PROVIDED HERE.

12. Miscellaneous Provisions

A. Waiver and partial nullity

The failure by Madrhiggs of any right or provision contemplated in these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held invalid or unenforceable, in this case, the provision will be limited or eliminated to the extent necessary and the remaining provisions of these Terms will remain in full force and effect.

B. Applicable law and jurisdiction

These Terms and any action related thereto will be governed by the laws of the State of California, without reference or applicability of its provisions on conflict of laws or those of the state or country of residence. All claims, legal proceedings or litigation related to the Services will be donated to the exclusive jurisdiction of the federal or state courts of the County of San Francisco, California, United States; the user submits to the jurisdiction of such courts and waives any objection of lack of jurisdiction or territorial. If the user is a federal agency, state or local government of the United States using the Services in this official capacity and proves unable legally to accept these clauses on applicable law, jurisdiction or jurisdiction, is to derogate 'application of such rules to the user. For those federal agencies US government, these Terms and any legal action related to them shall be governed by the laws of the United States of America (without reference to conflict of laws) and, in the absence of federal law and to the extent permitted by federal law, the laws of the State of California (without regard to the provisions relating to choice of law).

These Terms, the Madrhiggs Rules and Privacy Policy are the entire and exclusive agreement between Madrhiggs and you regarding the Services (excluding any services for which there is a separate agreement between the user and Madrhiggs that is explicitly additional or replacement of these Terms), and these Terms supersede and replace any prior agreements between Madrhiggs and you regarding the Services. Subject to the society of which Madrhiggs, Inc. is the parent, no other person or company will be third party beneficiaries to the Terms. Madrhiggs may revise these Terms from time to time and the latest version will always be available at the following address: http://www.madrhiggs.com. If the revision, at the sole discretion of Madrhiggs, is relevant, Madrhiggs will notify you via an email address associated with your account. By continuing to access and use the Services after the entry into force of such changes, you agree to be bound by the revised Terms.

Madrhiggs Commerce Terms

Madrhiggs only provides the platform for facilitating the services of financial aid between users on projects and activities registered. Madrhiggs assumes no responsibility or liability for these projects and activities registered.

You agree that Madrhiggs does not guarantee and is not responsible or liable for projects and activities that you help financially, including for issues such as quality, safety, legality, authenticity, accuracy, reliability.

You agree that any disputes between you and Madrhiggs arising from the projects and from the activities registered will be handled in accordance with the Madrhiggs Terms of Service, including the provisions regarding governing law and venue.

The Madrhiggs Rules

Our goal is to provide a service that allows you to discover and receive content from sources that interest you and share your content with others. We respect the ownership of content that users share and each user is responsible for the content published. Under these principles, do not actively monitor and censor content created by users, except in limited circumstances described below.

Restrictions on the content and use of Madrhiggs

In order to ensure the Madrhiggs service and the ability to communicate and stay in touch with others, there are some limitations on the type of content that can be published with the application. These limitations comply with legal requirements and make Madrhiggs a better experience for everyone. We may need to change these rules from time to time and we reserve the right to do so. Consult this section to see the latest news.

Impersonation: You may not impersonate others through the Madrhiggs service in a way which is or is intended to mislead, confuse or deceive others. Mark : We reserve the right to recover usernames on behalf of businesses or individuals that hold legal claim or are brand owners of such user names. Accounts that use trade names and / or logos to induce others into error may be permanently suspended.

Private information: you can not publish or post private and confidential information of others, such as credit card numbers, addresses or Social Security numbers / identity card, without their express authorization and permission.

Violence and Threats: You may not publish or post direct, specific threats of violence against others.

Copyright: We will respond to clear and complete reports of alleged copyright infringement. Our procedures for copyright are set out in the Terms of Service.

Abuse: you can not use our service for illegal purposes or for performing illegal activities. International users agree to comply with all local laws regarding online conduct and acceptable content.

Misuse of Madrhiggs Badges: You can not use the badge, such as (by way of example only) or Madrhiggs badge Sponsored occurred, unless it is provided by Madrhiggs. Accounts that use these badges as part of profile photo, photos of headers, background images, or in a way that falsely implies affiliation with Madrhiggs could be suspended.

Abuse and spam

Madrhiggs is committed to the protection of its members from abuse and spam. On Madrhiggs.com are not tolerated abuses towards users and technicians, which can result in permanent suspension. Any account that performs the following tasks may be subject to permanent suspension.

Account serial: You can not create multiple accounts for destructive purposes or uses abusive or overlapping. Account creation mass may lead to suspension of all related accounts. Any violation of the Madrhiggs Rules is cause for permanent suspension of all accounts.

Abuses targeted: you can not put in place targeted abuse or harassment. Here are some of the factors that we take into account in determining what behavior regarded as targeted abuse or harassment:

• messages are sent to a user from multiple accounts;
• the account has the sole purpose of sending offensive messages to others;
• behavior reported is unilateral or includes threats.

Misuse of user name: you can not put in place an undue use of the username. Accounts that are inactive for more than six months may also be removed without notice. Here are some of the factors that we take into account in determining what behavior regarded as improper use of username:

• the number of accounts created;
• creating accounts in order to prevent others from using that account names
• account creation with the aim of selling them;
• the use of feed to third-party content to update and maintain accounts on behalf of such third parties.

Spam invitation: You can not use the import address book contacts to Madrhiggs.com to send invitations mass repeated.

Sale of usernames: you can not buy or sell usernames of Madrhiggs.

Malware / Phishing: you can not edit or add links to malicious content whose purpose is to damage or alter the browser or the computer of another user or compromise the privacy of a user.

Spam: You can not use the Madrhiggs service for the purpose of sending spam. The definition of "spamming" will be updated as we respond to new tricks and tactics by spammers. Here are some of the factors that we take into account in determining what behavior regarded as spam:

• create and close accounts in a short span of time, particularly by automated;
• is presented with a large number of spam complaints against you;
• you publish a duplicate content on multiple accounts or multiple duplicate updates on one account;
• creating content repeatedly false or misleading;
• are published repeatedly account information of other users as if they were their;
• are published links misleading (eg. link of affiliates, links to malware / pages kidnapping of clicks, etc.);
• you create accounts or interactions with the account deceptive;
• sell or purchase interactions with the account;
• are used or promote third party sites that claim they can do to get more funding;

Pornography: You can not use obscene or pornographic images in the profile photo and the header or in the background of the user.

Your account may be suspended for a violation of the Terms of Service if you experience any of the situations previously exposed. Accounts created to replace suspended accounts will be permanently suspended.

Accounts that implement any of these behaviors may be investigated for abuse. Accounts under investigation can be removed from the search for quality. Madrhiggs reserves the right to immediately terminate your account without notice if, in its opinion, this is a violation of these Rules or the Terms of Service.
